Wholesale Agreement
This Wholesale Agreement ("Agreement") is made effective as of the date of purchase of a Biofusions Product between Biofusions owned by Baxma Cosmetics Ltd ("Company"), a natural haircare brand, and The wholesaler purchasing Biofusions products ("Wholesaler")

Product Orders and Payment Terms Wholesaler agrees to purchase and sell Company's products as set forth in each order submitted by Wholesaler to Company. Wholesaler agrees to pay Company for all products ordered at the agreed-upon price, which shall be specified in writing in the purchase order. Payment shall be made in full by Wholesaler prior to shipment of the products.

Minimum Advertised Price Policy Wholesaler agrees to adhere to Company's Minimum Advertised Price Policy (MAP). Wholesaler shall not advertise or sell any of Company's products below the MAP.

Product Distribution and Branding Wholesaler agrees to distribute Company's products to retailers, salons, or other entities for resale only. Wholesaler shall not alter or customise the branding, labelling, or packaging of any Company products in any way, without the prior written consent of Company.

Intellectual Property Wholesaler acknowledges that Company owns all rights to the Biofusions brand and any related trademarks, copyrights, or other intellectual property. Wholesaler shall not use or reproduce any Company intellectual property without the prior written consent of Company.

Confidentiality Wholesaler agrees to maintain the confidentiality of all non-public information provided by Company, including product pricing, formulations, and other trade secrets.

Term and Termination This Agreement shall remain in effect until terminated by either party upon thirty (30) days written notice. Upon termination, Wholesaler shall immediately discontinue use of any Company intellectual property and cease all distribution of Company products.

Governing Law This Agreement shall be governed by and construed in accordance with the laws of United Kingdom, without giving effect to its conflicts of laws provisions.

Entire Agreement This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
